BY-LAWS OF KEBTAH INC.

ARTICLE I STATEMENT OF COMMITMENT

Section 1.1: Statement of Commitment

We, elders, young people, researchers, intellectuals, men and women of science and culture, artists, builders of all social, environmental, and cultural categories of today and tomorrow's world,

  • concerned with finding solutions for people to reconnect to their heritage in order for them to live harmoniously on Earth.

  • convinced that a people have no other identity than its social, environmental, and cultural history, and that no society can develop harmoniously if it does not take the option of building its own destiny on its fundamental civilizational values,

  • aware that the future of a people cannot be written in the past of another and that it draws its nourishing sap from its own elements of civilization,

  • assuming the grandeur of the history of ancient civilizations of the earth and their legacy in today's world,

  • determined to draw from these civilizations, the foundations of our social, ecological, and cultural development,

have agreed to set up a non-political organization with a social, environmental, and cultural vocation called KEBTAH INC. (KEBTAH).

ARTICLE II GENERAL DISPOSITION

Section 2.1: Formation

There has been formed, in accordance with the United States of America's laws in action, an organization of a social, environmental and cultural vocation called KEBTAH.

Section 2.2: Scope

The scope of activities of KEBTAH is on an international level. Its headquarters is fixed in Houston, Texas, USA. It could be transferred to any other international territory by the Board of Directors.

Section 2.3: Terms

KEBTAH has unlimited terms.

ARTICLE III PRINCIPLES AND OBJECTIVES

Section 3.1: Principles

KEBTAH is based on:

  1. a)  Respect for human dignity regardless of race, religion, philosophical or political belief.

  2. b)  Respect for and the preservation of the heritage of the ancient civilizations of Earth.

  3. c)  Equal rights and obligations for its members and supporters.

Section 3.2: General Objectives

  1. a)  Offer its Active members and Allied members a framework for thought and exchange on the social, environmental, and cultural problems humanity is facing.

  2. b)  Contribute to a better understanding of ancient civilizations through the study of their history based on new avenues of research and knowledge.

  3. c)  To enable a pluralistic voice to be heard on the social, environmental, cultural, and educational problems of the modern people engaged in the struggle for the emancipation of humanity.

Section 3.3: Specific Objectives

  1. a)  Set up an open dialogue between people of modern science and traditional culture to reconcile the modern systems of thought and their results with those of indigenous societies.

  2. b)  Perpetuate the original knowledge and techniques of the ancient civilizations, which provided the rest of the world the knowledge and techniques of modern times.

  3. c)  Encourage and promote indigenous technologies and ingenuity from all disciplines of life.

  4. d)  Make the essential foundations of the philosophy of the ancient civilizations around the world, which have survived until today, known and appreciated by present and future generations.

  5. e)  Organize community events to make its general and specific objectives known.

Section 3.4: Means of Action

KEBTAH advances itself through its own means of action as follows:

  1. a)  Engagement in social, environmental, and cultural community projects.

  2. b)  The organization of webinars, podcasts, panel discussions, lectures, workshops, video screenings, and book readings.

  3. c)  The publication of written works and audio-visual content disseminating social, environmental, and cultural knowledge from an indigenous perspective.

  4. d)  The collaboration with any organization that shares common objectives and goals.

  5. e)  The identification, planning, and implementation of initiatives and projects of social, environmental, and cultural impact that revitalize the way of life of Indigenous People.

  6. f)  Promotion and fundraising for KEBTAH's projects, initiatives, and general operations.

  7. g)  The promotion of collaborations between modern and traditional artists.

    ARTICLE IV MEMBERSHIP

Section 4.1: Age Requirements

Membership is open to anyone of legal age who agrees to comply with the content of these By- Laws. Membership is also open to complying minors with the consent of a legal guardian.

Section 4.2: Categories of Membership

KEBTAH is comprised of three (3) categories of membership: the Honorary member, the Active member

and the Allied member.

  1. a)  Honorary members are those who participate (near or far) in KEBTAH’s mission as wisdom

    keepers, stewards, dignitaries, guardians and nobles of peoples preserving ancient civilizational

    values.

  2. b)  Active members are those who have met the necessary protocols to participate in KEBTAH’s

    activities and are up to date with their membership fees.

  3. c)  Allied Members are those who have submitted a membership application to the Board of

    Directors, received approval, and have paid the fees attached to this category.

Section 4.3: Membership Application Rights and Requirements

Rights and Requirements for becoming an Honorary, Active or Allied member of KEBTAH are as follows:

  1. a)  Honorary members are selected by the Board of Directors based on their dignified contribution to the preservation of ancient civilizational values.

  2. b)  Membership as an active or allied member of KEBTAH is considered acquired once the application has been approved by the Board of Directors.

  3. c)  Approval by the Board of Directors entitles the applicant to membership status after payment of a membership fee, the amount of which is set by internal regulations.

  4. d)  Active and Allied Membership is granted after payment of the fixed fee of $25 USD per month.

  5. e)  The amount set for membership fees can only be amended by the Board of Directors.

    ARTICLE V CORPORATE ORGANS

Section 5.1: Corporate Organs of KEBTAH

The Corporate organs of KEBTAH are as follows:

  1. a)  The Executive Director

  2. b)  The Board of Directors

  3. c)  The General Assembly

Section 5.2: Functions, Terms and Requirements of the Executive Director

The main functions and terms of the Executive Director are as follows:

  1. a)  The Executive Director must be an Active member of KEBTAH.

  2. b)  The Executive Director must implement any decision coming from the Board of Directors.

  3. c)  The Executive Director is in charge of coordinating all functions within KEBTAH.

  4. d)  The Executive Director must always operate in the best interest of KEBTAH.

Section 5.3: Functions, Terms and Requirements of the Board of Directors

  1. a)  The Board of Directors is the administrative organ of KEBTAH.

  2. b)  It is responsible for carrying out the activities of KEBTAH defined by the General Assembly.

  3. c)  The members of the Board of Directors are appointed by the General Assembly for a term of four

    (4) years, renewable indefinitely.

  4. d)  It is responsible for accepting grants, donations and legacies.

  5. e)  The Board of Directors is comprised of the following three (3) members:

    1. President

    2. Secretary

    iii. Treasurer

Section 5.4: Terms and Requirements of the General Assembly

  1. a)  The General Assembly is an important organ of KEBTAH. It is composed of participating Active members and Allied members.

  2. b)  The General Assembly meets twice a year at the request of the President of the Board of Directors. It may call extraordinary meetings at the request of two-thirds (2/3) of the votes of Active members who are up to date with their membership fees.

  3. c)  The agenda of the General Assembly is proposed by the Board of Directors.

  4. d)  Each Active member of KEBTAH has one vote at the General Assembly.

  5. e)  Decisions are taken by a two-thirds (2/3) majority of voting members.

  6. f)  Allied members do not take part in the vote. However, they may express opinions on the issues under deliberation.

  7. g)  Anything that is decided by the General Assembly needs to be reviewed by the Honorary Members before it is ratified.

Section 5.5: Functions of the General Assembly

  1. a)  To support and guide the general activity of KEBTAH.

  2. b)  To appoint the members of the Board of Directors.

  3. c)  To recommend amendments to the By-Laws.

    ARTICLE VI RESOURCES AND ASSETS

Section 6.1: Constitution of Resources

KEBTAH's assets and resources are constituted by:

  1. a)  Membership fees and fees paid by supporters

  2. b)  Members' contributions

  3. c)  The proceeds of the corporation 's activities

  4. d)  Grants, donations and legacies

Section 6.2: Conditions of Acceptance

Grants, donations and legacies of all kinds may only be accepted if they do not in any way compromise the independence, principles and objectives of KEBTAH.

ARTICLE VII DISCIPLINE AND SANCTIONS

Section 7.1: Disciplines and Sanctions

  1. a)  Any member violating these By-Laws or the non-application of the decisions of the bodies and organs of KEBTAH are subject to the following sanctions: warning, suspension, exclusion.

  2. b)  The Board of Directors is responsible for the warnings and suspensions issued to members for a period not exceeding three (3) months.

  3. c)  Suspensions and exclusions exceeding three (3) months are issued by the General Assembly.

Section 7.2: Determining Factors

Violations leading to the sanctions defined above are determined by the relevant provisions of KEBTAH's internal regulations.

ARTICLE VIII
RESIGNATION AND MEMBERSHIP DEMOTION

Section 8.1: Resignation Rights and Requirements

The rights and requirements of any KEBTAH member wanting to resign are as follows:

  1. a)  Any member of KEBTAH is free to withdraw from the corporation. To do so, he or she must contact the Board of Directors in writing, which will notify him or her of its acceptance within three (3) months following the filing of the notified decision of withdrawal.

  2. b)  In the event of prolonged silence of more than three (3) months from the Board of Directors, the withdrawal is considered validated after the fourth (4th) month of notification.

Section 8.2: Processing a Resignation

Any person who wishes to resign from a body or instance of KEBTAH must contact the Board of Directors for this purpose, which will convene an extraordinary General Assembly Meeting to hear the reasons for the person concerned. It will record the resignation and elect another person to fill the vacant position in place of the resigning member.

ARTICLE IX:
AMENDMENTS, REVISION AND DISSOLUTION

Section 9.1: Amendments & Revision
These By-Laws may only be amended or revised by the General Assembly by a simple majority of the

voting members with ratification of the Honorary Members.

Section 9.2: Dissolution

Dissolution of KEBTAH cannot occur unless the Board of Directors and Executive Director unanimously vote ''yes'' and the decision is approved by the Honorary Members. An extraordinary meeting is required for this purpose.

Section 9.3: Asset Distribution upon Dissolution

In the event of dissolution, the assets of KEBTAH are inventoried by elected trustees acting as liquidators. The General Assembly decides on their allocation to an indigenous based organization pursuing the same goals as it.

ARTICLE X FINAL DISPOSITIONS

Section 10.1: Implementation Terms for the Present By-Laws

Internal regulations approved by a two-thirds (2/3) majority of voting members will specify the terms of implementation of these By-Laws after review of the Honorary Members.

Section 10.2: Adoption of By-Laws

These present By-Laws will be effective as soon as they are adopted and signed.
